1. Agreement
These Terms of Service ("Terms") govern your use of ManifestD, a software platform operated by Kida Concepts LLC ("Company," "we," or "us"). By accessing or using ManifestD, you agree to be bound by these Terms.
ManifestD is a B2B platform intended for licensed operators and their authorized personnel in California. Use of this platform requires a valid California license.
2. Eligibility
To use ManifestD you must:
- Be a licensed operator or authorized employee thereof
- Be at least 21 years of age
- Have authority to bind your organization to these Terms
- Comply with all applicable State and Industry regulations
3. Platform Use
ManifestD provides tools for digitizing METRC transfer manifests, capturing electronic signatures, and maintaining compliance records. You agree to:
- Use the platform only for lawful business operations
- Ensure all signatories are authorized personnel with authority to sign transfer documents
- Maintain accurate records and not submit fraudulent signatures or manifest data
- Not attempt to circumvent authentication, tamper with audit trails, or reverse-engineer the platform
- Notify us immediately of any unauthorized access to your account
4. Electronic Signatures
Electronic signatures captured through ManifestD are intended to comply with the California Uniform Electronic Transactions Act (UETA) and applicable industry regulations. You acknowledge that:
- Electronic signatures captured on the platform have the same legal effect as handwritten signatures
- You are responsible for ensuring signatories understand they are signing legally binding documents
- Audit trail records generated by ManifestD serve as the compliance record for each transaction
- ManifestD is a tool to assist compliance — you remain responsible for your regulatory obligations
5. SMS Communications
By entering phone numbers into the ManifestD platform for the purpose of sending signing links, you represent that you have the authority to send transactional SMS messages to those recipients in connection with their employment duties. You agree not to use the SMS feature to send unsolicited messages.
6. Subscription and Payment
ManifestD is offered on a subscription basis. Pricing, billing cycles, and plan details are provided at the time of account setup. Subscriptions renew automatically unless cancelled. We reserve the right to modify pricing with 30 days notice to active subscribers.
7. Data and Confidentiality
You retain ownership of your business data uploaded to ManifestD. We will not access, use, or disclose your data except as necessary to operate the platform or as required by law. See our Privacy Policy for full details.
8. Disclaimer of Warranties
ManifestD is provided "as is" without warranties of any kind. We do not warrant that the platform will be uninterrupted, error-free, or that electronic signatures captured will be accepted by all regulatory bodies in all circumstances. You are responsible for maintaining your own compliance with DCC regulations.
9. Limitation of Liability
To the maximum extent permitted by law, Kida Concepts LLC's liability for any claim arising from your use of ManifestD shall not exceed the amount you paid us in the three months preceding the claim. We are not liable for indirect, incidental, or consequential damages.
10. Termination
We may suspend or terminate your account for violation of these Terms, non-payment, or if required by law. Upon termination, your access to the platform will cease. Compliance records required by law will be retained per our data retention policy.
11. Governing Law
These Terms are governed by the laws of the State of California. Any disputes shall be resolved in the courts of Los Angeles County, California.
